Gig Oasis Terms of Service

These Terms govern access to and use of the Gig Oasis platform and related services. Please read carefully before using the platform.

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the platform operated by Gig Oasis Limited, a company duly registered under the laws of the Federal Republic of Nigeria (RC Number: 9336986), with registered address at Lagos, Nigeria ("Company," "We," "Us," or "Our").

By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, and any additional terms, policies, or guidelines incorporated by reference.

You acknowledge that this is an electronic agreement and that electronic assent (including clicking "I agree" or "Sign Up") constitutes legally binding acceptance.

2. Definitions

ClientA User who posts a Project or hires a Freelancer to perform Services through the Platform.
ContractThe agreement between a Client and a Freelancer for performance of Services, formed upon acceptance of an offer or proposal.
Dispute Resolution ProcessThe process outlined in Section 8 for resolving disputes between Users.
EscrowFunds held by Us or a third-party payment processor on behalf of Users pending completion of a milestone or Project.
FreelancerA User who offers Services and accepts Projects posted by Clients through the Platform.
Milestone PaymentA payment held in Escrow for a specific deliverable within a larger Project.
PlatformThe online marketplace, including related technology, tools, and services provided by the Company.
ProjectA specific job, task, or engagement posted by a Client for which a Freelancer may submit a proposal.
ServicesThe services provided by Freelancers to Clients through the Platform.
User / You / YourAny individual or entity that accesses or uses the Services, whether as a Client, Freelancer, or visitor.
User ContentAny content, data, information, or materials submitted, posted, or transmitted by Users through the Platform.
Service FeeThe fee charged by the Company for use of the Platform, as described in Section 6.

3. Eligibility and Account Registration

To use the Services, you must:

  • Be at least 18 years old (or age of majority in your jurisdiction).
  • Have legal capacity to enter into binding contracts.
  • Not be prohibited by applicable laws or sanctions lists.
  • Provide complete, accurate, and truthful registration data.

Account obligations include maintaining credential security and accurate profile details.

We may require BVN, NIN, TIN, or CAC documentation for Nigerian compliance and business verification.

4. Relationship Between Users

Freelancers are independent contractors, not employees.

Nothing in these Terms creates employment, partnership, or agency relationships between the Company and Clients/Freelancers.

Freelancers are responsible for taxes, legal compliance, tools, licenses, and service delivery methods. Clients are responsible for lawful engagements, timely feedback, and timely payments.

A Contract forms when a proposal/offer is accepted by either party and includes scope, price, delivery terms, and these Terms.

5. User Conduct and Prohibited Activities

Users may not post illegal, fraudulent, or prohibited projects or services.

  • No hacking, cheating, counterfeit documents, or illegal financial activity.
  • No bots/scraping, impersonation, credential sharing, or data harvesting.
  • No fee avoidance: platform-discovered work must remain on-platform for payment.

Violations may result in suspension, escrow forfeiture, or permanent account bans.

6. Payment Terms

Gig Oasis charges platform subscription fees only. Customers buy booking credits; providers subscribe for dashboard access and discovery. Job prices agreed between a customer and a provider are paid off-platform. Gig Oasis does not hold job funds in escrow and is not a party to the service contract for the underlying work.

Subscription payments are processed by our secured Payment System, a PCI DSS compliant partner. Card details are tokenized and stored by our secured Payment System. Gig Oasis stores only masked card data (brand, last 4 digits, expiry) and authorization references needed to display your payment method and manage renewals.

Subscriptions and auto-renewal

  • Plans renew automatically until cancelled from billing.
  • Checkout captures explicit consent, timestamp, IP address, and browser user agent.
  • Providers have a 3-day grace period after a failed renewal before lockout.

Credits

  • Each customer account includes one lifetime free booking.
  • Additional bookings hold 1 credit, refunded if the provider declines or the booking is cancelled before acceptance.

Displayed prices are in Nigerian Naira and are inclusive of applicable VAT unless a later invoice states otherwise. Nigerian tax reporting obligations remain with each User as required by law.

7. Intellectual Property

Platform software, branding, and proprietary assets belong to the Company or licensors. Reverse engineering and unauthorized derivative works are prohibited.

For paid deliverables, IP in work product transfers to the Client upon full payment, unless otherwise agreed in writing.

Users grant the Company a non-exclusive, worldwide, royalty-free license to use platform-posted User Content for platform operation and promotion.

8. Dispute Resolution

The dispute process follows three steps:

  1. Direct negotiation between Users through platform messaging.
  2. Optional Company-facilitated mediation.
  3. Binding arbitration under applicable Nigerian arbitration law.

The Company is not a party to Client-Freelancer contracts and does not guarantee service quality outcomes.

9. Escrow and Fund Holding

Escrow funds are held by the Company or payment partners in segregated accounts and do not accrue interest to Users.

Release occurs upon approval, auto-release, written agreement, or dispute outcome.

Refunds may apply for non-delivery, project abandonment, or mutual cancellation, typically returned to the original payment method.

10. Reviews and Feedback

Clients and Freelancers may leave public reviews and private feedback after project completion.

Fraudulent, retaliatory, or incentive-driven reviews are prohibited and may be removed.

11. Suspension and Termination

Users may terminate accounts through settings or support contact.

We may suspend or terminate accounts for Terms violations, fraud, chargebacks, unpaid fees, or security risks.

Termination ends platform access, but accrued obligations and lawful data retention requirements may survive.

12. Limitation of Liability and Disclaimers

Platform and services are provided "as is" and "as available."

The Company disclaims implied warranties and does not guarantee project outcomes, profile accuracy, or uninterrupted service.

To the maximum extent permitted by law, indirect and consequential damages are excluded, and aggregate liability is capped at the lower of fees paid in the preceding 12 months or NGN 100,000.

Non-excludable liabilities under Nigerian law (for example fraud or negligent personal injury) remain unaffected.

13. Indemnification

You agree to indemnify and hold harmless the Company and related parties from claims or losses arising from your use of services, legal non-compliance, contracts with other Users, posted content, or tax/misclassification issues.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria.

Legal proceedings are subject to the Federal High Court of Nigeria or the High Court of the State of Incorporation.

Arbitration may be conducted in Lagos, Nigeria, in English, by a single arbitrator appointed by the Lagos Court of Arbitration.

15. General Provisions

  • Amendments become effective 3 days after posting notice.
  • If any provision is invalid, the remainder stays in effect.
  • Failure to enforce a provision is not a waiver.
  • These Terms and related policies form the entire agreement.
  • Users may not assign rights without written consent.

Appendix A: Nigerian-Specific Compliance Addendum

  • Compliance with Nigeria Data Protection Act (NDPA) 2023.
  • Compliance with AML laws and NFIU Guidelines, including EDD where needed.
  • Cooperation with law enforcement under Cybercrimes (Prohibition, Prevention, etc.) Act 2015.
  • Consumer rights under FCCPA 2018, including fair dealing and redress processes.

Appendix B: Freelancer Code of Conduct

  • Deliver work to agreed specifications and quality.
  • No unauthorized subcontracting without Client consent.
  • Maintain accurate time logs for hourly projects.
  • Respond to Client messages within 24 hours during active projects.
  • Do not bid on projects you are not qualified to perform.
  • Honor deadlines or communicate delays promptly.

Appendix C: Client Code of Conduct

  • Provide clear and accurate project descriptions.
  • Respond to Freelancer communications within 48 hours.
  • Review and approve deliverables promptly.
  • Fund Escrow before work begins on fixed-price projects.
  • Do not request unpaid speculative work.
  • Pay agreed rates without unreasonable delay.
